These Terms govern your access to and use of the Malegado platform, applications, websites, social/cultural video feeds, and services, operated by Core Alpha Services FZ-LLC.
These Terms and Conditions ("Terms") govern your access to and use of the Malegado platform, applications, websites, social/cultural video feeds, and services (the "Service"), operated by Core Alpha Services FZ-LLC. By creating an account or using the Service, you agree to be bound contractually by these Terms and our integrated Privacy Policy. If you do not agree, you must immediately cease use of the Service.
1. Eligibility & User Registration
You must be at least 16 years old to register an independent account. Minors between 0 and 16 may use the Service only under verifiable parental or guardian supervision. Ad-supported rewards and interactive social features are restricted for children under 13 in the US and under 16 in the EU, unless channeled through an adult-managed family account. Users are responsible for providing current, accurate registration metrics and for guarding their authorization credentials.
2. License Grant, Intellectual Property, and AI Training Rights
Core Alpha grants you a limited, non-exclusive, non-transferable, revocable license to access the Service for personal, non-commercial educational use. All core platform intellectual property, layout architectures, branding, software blocks, and underlying AI/ML structures remain exclusive corporate property.
By submitting User Content (text, audio recordings, profile images, and short-form video vlogs), you grant Core Alpha Services FZ-LLC a worldwide, non-exclusive, royalty-free, sub-licensable license to host, store, reproduce, modify, adapt, publish, and create derivative works from your User Content for the purpose of operating, providing, and improving the Service—including to develop, train, fine-tune, evaluate, and improve our artificial-intelligence and machine-learning models (such as speech-recognition, text-to-speech, pronunciation, translation, content-generation, and multimodal models). This license expressly covers voice and audio recordings, images, and videos you upload. Subject to Section 7 of the Privacy Policy, you may opt out of model training pipelines at any time; doing so prevents future material ingestion but does not legally mandate the modification or destruction of pre-existing trained structural weights.
3. Acceptable Use, Prohibited Conduct, and Third-Party Privacy
Users are strictly prohibited from uploading content that is illegal, defamatory, obscene, hateful, or infringing on intellectual property. Furthermore, you are strictly prohibited from uploading, posting, or transmitting any User Content, including short-form vlogs or cultural videos, that depicts recognizable individuals without their explicit or implied consent.
Extraterritorial Compliance: While the legality of recording media in public spaces is governed by the physical jurisdiction in which the content was captured, the distribution of such content via our platform is subject to global privacy standards and the hosting regulations of our corporate hub (including Article 44 of the UAE Cybercrime Law).
Atmospheric Vlogging Exception (The Public Scenery Rule): General, scenic, or atmospheric media where individuals are purely incidental to a public background (e.g., wide shots of street scenes, cultural festivals, or architectural tours) is permissible under the principle of Freedom of Panorama, provided it does not single out, harass, defame, or commercially exploit any non-consenting party. Malegado reserves the sole right to determine if an individual's privacy has been compromised and to remove the violating media immediately without prior notice.
4. Absolute Regional Restrictions (UAE Media and Cybercrime Standards)
Because the Service is operated by a United Arab Emirates entity, all globally uploaded User Content accessible within the platform must strictly respect local statutory red lines enforced by the UAE Media Council and standard cybercrime provisions. Automated screening and human review queues will permanently remove, block, or geofence any User Content that contains:
- Contempt of Religion: Any content that ridicules, insults, defames, or misrepresents divine religions, Islamic beliefs, rituals, or sacred symbols (consistent with Article 37 of the UAE Cybercrime Law).
- State and Sovereignty Protections: Media or text that targets, defames, or undermines the UAE's governance system, ruling families, state emblems, national security, or regional diplomatic relationships.
- Public Decency and Controlled Substances: Imagery or audio depicting graphic nudity, highly suggestive or explicit behavior, commercial gambling, or the illicit promotion, sale, or consumption of controlled substances or alcohol.
- Unconsented Media Capture, Defamation, and Rumors: Close-up targeting or profiling of non-consenting persons (Article 44 Cybercrime Law), online insults (Article 43), or the transmission of fake news and unverified historical claims that incite sectarian discord.
Our hybrid content moderation framework utilizes automated AI pre-filtering (hash matching and computer vision for video frames) paired with a specialized human-in-the-loop review team. Reports can be submitted via in-app tools or to report@malegado.com. Violating content will be hidden instantly pending formal dispute review, protecting our intermediary status and satisfying Digital Services Act (DSA) requirements.
5. Copyright Policy and US DMCA Safe Harbor Protection
We respect intellectual property rights and maintain robust statutory safe harbors. To ensure absolute protection against copyright liabilities arising from user-uploaded audio tracks or background clips in our cultural video loops, we have formally designated our Copyright Agent with the United States Copyright Office directory for our storefront entity, Core Alpha Services FZ-LLC, ensuring full US DMCA Safe Harbor protection.
Our designated agent coordinates with our African technical management team to enforce a 'Takedown-First' protocol. Upon receiving a valid infringement notice, access to the disputed media will be expeditiously disabled prior to investigation. If the uploading user issues a valid statutory counter-notice, claimants have 10-14 business days to file a lawsuit, failing which the video will be safely restored to the social feed. 6. Virtual Items, Rewards Economy, and Ad-Earned Premium Access
The Service allows users to earn or purchase limited, revocable virtual tokens, tokens, or temporary premium configurations ('Virtual Items') by viewing rewarded video streams via our ad SDK interfaces. You explicitly acknowledge that Virtual Items carry absolutely no real-world monetary value, do not constitute personal property, cannot be exchanged for cash or fiat currencies, and are entirely revocable at our sole discretion. Core Alpha retains no liability for the temporary or permanent loss of Virtual Items resulting from network dropping, application crashes, programmatic ad loading failures, or account suspension driven by conduct violations; no cash refunds or financial restitutions will be issued.
7. Disclaimers, Limitation of Liability, and Indemnification
The Service is provided on an 'as is' and 'as available' blueprint without express or implied warranties of any kind. To the maximum extent permitted by law, Core Alpha Services FZ-LLC and its structural officers shall not be held liable for any indirect, incidental, special, or consequential damages, or losses of data, profits, or digital assets. Our total aggregate liability for any statutory claim shall under no condition exceed the total amount compensated by you to the company within the preceding twelve (12) calendar months.
You agree to indemnify and hold harmless Core Alpha Services FZ-LLC from any operational third-party claims, legal expenses, or liabilities arising directly from your uploaded User Content, prohibited platform conduct, or systemic violation of regional laws.
8. Governing Law and Free Zone Jurisdictional Specifics
These Terms are governed by, and construed in accordance with, the federal laws of the United Arab Emirates and the local regulations of the free zone in which Core Alpha Services FZ-LLC is formally registered. To maximize international venture capital appeal and ensure a stable, sophisticated judicial landscape for institutional funding rounds, you explicitly agree that any legal dispute, controversy, or claim arising out of or relating to this contract, including its formation or validity, shall be submitted to and settled under the exclusive jurisdiction of the English-language, common-law courts of either the Abu Dhabi Global Market (ADGM) or the Dubai International Financial Centre (DIFC), regardless of whether our administrative office operates from Ras Al Khaimah (RAK).
9. Operational Modifications and Contact Links
We reserve the right to modify these Terms and our integrated Privacy Policy at any time to preserve alignment with global statutory developments. Material changes will be broadcasted to users via direct email or conspicuous in-app system alerts. Continued deployment of the platform constitutes unconditional acceptance of the updated legal matrix.
